These Terms of Service ("Terms") govern your access to and use of the Unveila platform ("Platform"), operated by Unveila Ltd. ("Unveila," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Service Description

Unveila is a predictive intelligence platform that provides data analytics, statistical modeling, and probability-weighted scenario analysis regarding corporate events, cryptocurrency protocols, and macroeconomic conditions. The Platform analyzes publicly available data from government sources, regulatory filings, and public blockchain networks.

Unveila does NOT provide: investment advice, financial advice, legal advice, tax advice, trading recommendations, portfolio management, brokerage services, or personalized financial guidance of any kind. Unveila is not a registered investment adviser, broker-dealer, financial analyst, or financial planner with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), or any state, federal, or international regulatory agency.

2. Eligibility and Account

You must be at least 18 years old and capable of forming a binding contract to use the Platform. Registration is open to all. By creating an account, you represent that all information you provide is accurate and that you will maintain its accuracy. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

The Platform is currently provided free of charge with full access to all features. We reserve the right to introduce paid tiers or modify available features in the future with 30 days' prior written notice.

All models, algorithms, predictions, analyses, data compilations, software, designs, and content on the Platform are the proprietary intellectual property of Unveila or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes while your account is active. This license does not include the right to modify, distribute, sell, or create derivative works from Platform content.

6. Data Accuracy and Disclaimers

THE PLATFORM AND ALL INFORMATION, PREDICTIONS, ANALYSES, AND DATA PROVIDED THEREON ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, OR NON-INFRINGEMENT.

UNVEILA DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY PREDICTIONS OR ANALYSES WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL MEET YOUR REQUIREMENTS; OR (D) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.

Our predictions are generated by statistical models and algorithms that analyze publicly available data. These models have inherent limitations and may produce inaccurate results. Data sources may contain errors, omissions, or delays. Actual outcomes may differ materially from projected outcomes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNVEILA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR ANTICIPATED SAVINGS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF UNVEILA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UNVEILA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO UNVEILA DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

WITHOUT LIMITING THE FOREGOING, UNVEILA SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY INVESTMENT DECISIONS, TRADING DECISIONS, OR FINANCIAL DECISIONS MADE BY YOU OR ANY THIRD PARTY BASED ON, OR IN RELIANCE UPON, ANY INFORMATION, PREDICTION, ANALYSIS, OR DATA PROVIDED THROUGH THE PLATFORM. ALL INVESTMENT AND FINANCIAL DECISIONS ARE MADE SOLELY AT YOUR OWN RISK.

8. Indemnification

You agree to indemnify, defend, and hold harmless Unveila, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any investment, trading, or financial decision made by you or any third party based on information obtained from the Platform; or (e) your redistribution or republication of Platform content.

9. Invitations and Referrals

All users may invite others to join the Platform. Invitation privileges may be revoked at Unveila's discretion. Invitations may not be sold, traded, or used for commercial promotion.

10. Termination

We may suspend or terminate your access to the Platform immediately and without notice if we reasonably believe you have violated these Terms, engaged in prohibited conduct, or if required by law. You may terminate your account at any time through your account settings. Upon termination, your right to use the Platform ceases immediately, and we may delete your data after 30 days. Sections 5 through 8 survive termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by JAMS in New York, New York, in accordance with its Comprehensive Arbitration Rules. The arbitration shall be conducted by a single arbitrator. Judgment upon the award may be entered in any court having jurisdiction. YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

12. Changes to Terms

We may modify these Terms at any time by posting the revised version on the Platform with an updated "Last updated" date. We will notify you of material changes via email or in-platform notification at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms.

13. General Provisions

Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force. Entire Agreement: These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Unveila. Assignment: You may not assign these Terms without our prior written consent. Force Majeure: Unveila shall not be liable for delays or failures caused by circumstances beyond our reasonable control. Notices: We may send notices to the email address associated with your account.
